Public Offer Agreement for the Provision of Advertising Services

This Public Offer Agreement sets forth the terms and conditions for the provision of advertising services by Lime Consulting LLC. By filling out the online application form, the Client agrees to engage Lime Consulting LLC for the creation and management of advertising campaigns, including integration with CRM systems and automated messaging. The agreement outlines the payment schedule, responsibilities of both parties, and confidentiality requirements. It also includes clauses on intellectual property, limitation of liability, and force majeure. This agreement is governed by the laws of the United Kingdom and ensures a clear, professional partnership framework for all clients.

Public Offer Agreement for the Provision of Services

Acceptance of this Offer is filling out the online application form for the provision of services on the Executor's Website and means full and unconditional acceptance of the terms of this Agreement.

PARTIES
This Public Offer Agreement (hereinafter referred to as the "Agreement") is entered into by and between Lime Consulting LLC, registration number 02893368, (hereinafter referred to as the "Contractor") and the Client, whose details are provided in the online application form (hereinafter referred to as the "Client", collectively referred to as the "Parties"), both of whom agree to be bound by this Agreement.

TERMS
This Agreement shall be effective on the date of submission of the online application form and will continue until the completion of the services unless cancelled by either party.

SERVICES
The Contractor agrees to perform the services listed below:
- Create an advertising campaign for the Client.
- Connect this campaign to the CRM system.
- Integrate a bot with the CRM system to write the first message to new clients.
- Provide adjustments and optimization for the campaign for a month after the setup.

PRICE AND PAYMENT
The Client agrees to the following payment schedule for the trial service:
- Initial Payment: £50 upon the initial call.
- Second Payment: £100 after filling out the questionnaire and upon starting the ad copy creation.
- Final Payment: £350 before the final setup and launch of the ad campaign.
Total Cost for Trial: £500 (exclusive of the ad campaign budget).
Ad Campaign Budget: Minimum £250 (this is separate from the setup fee).

RESPONSIBILITIES OF THE CLIENT
1. Provide a budget for the ad campaign and clear information as to the nature of their business to ensure that the advertising created by the Contractor is appropriate.
2. Collaborate with the Contractor and provide any insights that could prove useful for the ad campaign.
3. Pay any invoices promptly, noting that work will only take place if appropriate payments have been made.
4. Provide accurate and complete information when filling out the online application form.
5. Maintain confidentiality of any proprietary information received during the provision of services.

RESPONSIBILITIES OF THE CONTRACTOR
1. Progress the project from start to finish while striving to achieve the Client's project goals.
2. Connect the ads to the CRM system and integrate a bot to write greetings to new clients.
3. Maintain the confidentiality of the Client’s proprietary information.

LIMITATION OF LIABILITY AND INDEMNIFICATION
The Contractor shall not be liable for any actions taken by the Client in the use or management of the leads provided under this agreement. The Client agrees to indemnify and hold harmless the Contractor from any claims, damages, liabilities, costs, or expenses, including reasonable attorneys' fees, arising from the Client's use, misuse, or management of the leads.

RESTRICTIONS ON USE OF SERVICES
The Client agrees not to sell, transfer, or distribute the leads provided by the Contractor to any third parties. The services are to be used exclusively by the Client for their internal business purposes only.

INTELLECTUAL PROPERTY OWNERSHIP
The advertising and content created by the Contractor to fulfill this contract is the property of the Contractor. The Client shall not use, copy, modify, reproduce, download, reconfigure, etc., any item of intellectual property without the prior written consent of the Contractor.

TERMINATION
The Contractor may terminate this Agreement upon giving the Client written notice following the Client’s breach of any provision of this Agreement. The Client may terminate this Agreement upon giving the Contractor written notice. In the event of termination by the Client, the compensation paid by the Client to the Contractor shall not be refunded. In the event of termination by the Contractor, the compensation paid by the Client will be refunded after deducting the value of the services provided up to the date of termination.

GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

AMENDMENTS & ASSIGNMENT
Any amendments to this Agreement must be in writing and signed by both Parties. The Parties agree not to assign any responsibilities in this Agreement to a third party without written consent from both Parties.

FORCE MAJEURE
The Parties are exempt from liability for full or partial failure to fulfill their obligations under this Agreement if it is caused by force majeure circumstances such as natural disasters, fires, floods, wars, or any other events beyond their control.

ENTIRE AGREEMENT
This Agreement contains the entire agreement and understanding among the Parties with respect to its subject matter and supersedes all prior agreements and understandings.

SEVERABILITY & AGREEMENT IN PARTS
If any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions will remain in force.
